Website Terms of Use

1. Acceptance of Terms
By accessing or using the United Korean Founders (“UKF,” “we,” “us,” or “our”) website at unitedkoreanfounders.org (the “Site”), including its public profile pages, member directory, volunteer directory, membership portal, and all associated services and features (collectively, the “Services”), you (“you” or “User”) agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not access or use the Site or Services.
UKF is a 501(c)(6) trade association organized under the laws of the State of New York. These Terms constitute a legally binding agreement between you and UKF.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site following any modifications constitutes acceptance of the revised Terms.
2. Eligibility
The Site and Services are intended for individuals who are at least 18 years of age. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Membership
3.1 Membership Tiers and Dues
UKF offers multiple membership tiers, each with distinct benefits, obligations, and annual dues. Membership dues are not charitable contributions and are not tax-deductible as charitable donations. Depending on the membership tier, a portion of dues may be deductible as ordinary and necessary business expenses; members should consult their own tax advisors.
Membership tier descriptions, benefits, eligibility criteria, and dues amounts are published on the Site and may be updated from time to time at UKF's discretion.
3.2 Application and Acceptance
Membership is subject to UKF's review and approval. UKF reserves the right to accept or decline any membership application at its sole discretion, consistent with its mission to promote the common business interests of founders with Korean heritage.
3.3 Member Conduct
Members agree to:
- Provide accurate and current information in their member profiles;
- Maintain the confidentiality of their account credentials;
- Use the member directory and intent-based matching features in good faith and for legitimate professional networking purposes only;
- Not use member contact information for unsolicited commercial communications, spam, or any purpose unrelated to the UKF community;
- Comply with all applicable laws and regulations; and
- Not engage in conduct that is discriminatory, harassing, defamatory, or otherwise harmful to other members or UKF's reputation.
3.4 Termination of Membership
UKF reserves the right to suspend or terminate any membership at its sole discretion for violation of these Terms, nonpayment of dues, or any conduct that UKF determines to be inconsistent with its mission or harmful to the community.
3.5 Refund Policy for Membership Dues
Membership dues are eligible for a refund only if a written refund request is received within fourteen (14) days of the payment date (“14-Day Refund Window”). After the 14-Day Refund Window, all dues are non-refundable to the fullest extent permitted by applicable law.

UKF may request reasonable information to verify the payment and the identity of the requesting party. Approved refunds will be issued to the original payment method whenever possible. Refund processing times may vary depending on the payment method and financial institution, but are typically completed within five (5) to ten (10) business days after approval.
To the fullest extent permitted by law, third-party payment processing fees (including fees charged by Stripe or other processors) may be non-refundable and may be deducted from the refund amount, unless UKF elects otherwise in its sole discretion.
4. Member Directory, Public Profiles, and Intent-Based Matching
The Site may include:
- (a) Public profile pages that may be viewable by the public; and
- (b) Member-only directory and features that may be accessible only to logged-in members and/or based on membership tier.
The UKF member directory enables members to connect based on shared professional interests through an intent-based matching system. Members may select up to three (3) intent tags from UKF's tag system to indicate their professional interests and objectives.
Access to, and visibility of, certain profile fields and features (including, without limitation, intent tags, IR-related fields, direct contact details, and other advanced features) may vary by membership tier and by your profile settings.
UKF provides the platform infrastructure for member connections. UKF does not act as an intermediary, matchmaker, agent, or service provider in any transactions or relationships that may arise between members. All interactions, agreements, and transactions between members are solely between those members.
UKF makes no representations or warranties regarding the accuracy of member profiles, the suitability of any member for any purpose, or the outcome of any member interactions.
5. Payments and Billing
Membership dues and other payments processed through the Site are handled by Stripe, Inc. (“Stripe”), a third-party payment processor. By making a payment through the Site, you agree to Stripe's terms and policies in addition to these Terms.
UKF does not store or have direct access to your complete payment card information. All payment data is processed and stored by Stripe in accordance with PCI DSS (Payment Card Industry Data Security Standard) requirements.
For certain membership tiers (including Corporate and Patron tiers), payment arrangements may be handled via invoice and/or direct communication with UKF rather than through the Site's online payment system.
6. Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, images, trademarks, service marks, trade names, and software (collectively, “Content”), is the property of UKF or its licensors and is protected by United States and international intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Content without the prior written consent of UKF, except as necessary for your personal, non-commercial use of the Services.
“United Korean Founders,” “UKF,” “KOOM,” and associated logos and marks are trademarks of UKF or its affiliates. Use of these marks without prior written permission is strictly prohibited.
7. User-Generated Content
Members may submit content to the Site, including profile information, intent tags, and other materials (“User Content”). By submitting User Content, you grant UKF a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute such User Content in connection with the operation and promotion of the Site and Services.
You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights or applicable laws.
UKF reserves the right to remove any User Content at its sole discretion, without notice, for any reason.
8. Prohibited Uses
You agree not to use the Site or Services to:
- Violate any applicable local, state, national, or international law or regulation;
- Scrape, harvest, or collect member data or personal information from the directory or any other part of the Site;
- Transmit any viruses, malware, or other harmful code;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Interfere with or disrupt the Site, servers, or networks connected to the Site;
- Use automated means (bots, scrapers, crawlers) to access the Site without UKF's prior written consent; or
- Use the member directory for recruitment, sales solicitation, or marketing purposes not sanctioned by UKF.
9. Third-Party Links and Services
The Site may contain links to third-party websites, services, or resources. UKF does not endorse and is not responsible for the content, products, or services of any third-party sites. Your use of third-party services is at your own risk and subject to those third parties' terms and policies.
10. Disclaimer of Warranties
The Site and Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, UKF disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
UKF does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. UKF makes no warranty regarding the accuracy, reliability, or completeness of any content on the Site, including member profiles and directory information.
11. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall UKF, its officers, directors, board members, employees, volunteers, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Site or Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory.
UKF's total aggregate liability for all claims arising out of or related to these Terms or your use of the Site shall not exceed the amount of membership dues paid by you to UKF in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
12. Indemnification
You agree to indemnify, defend, and hold harmless UKF, its officers, directors, board members, employees, volunteers, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of another person or entity.
13. Governing Law; Venue
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of such courts.
14. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy for information on how we collect, use, and protect your personal information.
15. Volunteer Activities
UKF maintains a volunteer directory and may offer volunteer opportunities. Volunteers are not employees, agents, or contractors of UKF. Volunteer participation is at-will and may be terminated by either party at any time. UKF assumes no liability for injuries or damages incurred during volunteer activities, except as required by applicable law.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and UKF regarding your use of the Site and Services, and supersede all prior or contemporaneous communications, whether oral or written.
